1. Eligibility & Approval
Wholesale accounts are subject to approval at the company’s discretion.
Business must provide valid resale certificate / tax ID.
Account may be revoked for violations of terms.
2. Minimum Order Requirements
Required order minimum: $500 per order
3. Pricing & Payment Terms
Wholesale pricing is confidential.
Prices subject to change without notice.
Payment terms: Payment is required before shipment. Late payments may result in order holds or account termination.
4. Shipping & Fulfillment
Shipping costs billed to buyer.
Orders ship within 2-5 business days unless otherwise noted. Buyer responsible for correct shipping address. Risk of loss passes to buyer once shipment leaves seller.
5. Returns, Exchanges & Damages
All wholesale sales are final
Returns are only accepted for damaged or defective items. Claims must be made within 14 days of delivery. No returns for sizing, color preference, or unsold merchandise.
6. MAP (Minimum Advertised Price) / Resale Policy
All products must be sold at keystone pricing (2× wholesale) or above. This pricing requirement applies to all in-store and online sales, advertisements, promotions, and discount programs. Unauthorized discounting, including sales, coupon codes, flash sales, or bundle pricing that reduces the retail price below keystone, is strictly prohibited without prior written consent. Failure to comply with keystone pricing requirements may result in corrective action, including but not limited to order holds, suspension, or termination of wholesale account privileges.
7. Online Sales & Marketplaces
Approval required for online sales.
Selling on third-party marketplaces (Amazon, Etsy, etc.) may be prohibited or restricted. No drop shipping without written consent.
8. Brand Representation
Products must be sold under original brand name.
No altering, relabeling, or misrepresentation of products.
Brand imagery and trademarks must be used appropriately.
9. Account Termination
Seller reserves the right to terminate account at any time. Outstanding balances must be paid immediately upon termination.
10. Confidentiality
Wholesale pricing and terms are confidential.
Buyer may not share pricing or supplier information.
11. Governing Law
Agreement governed by the laws of the seller’s home state.
